TERMS AND CONDITIONS OF SALE (GTC)
PREAMBLE
The website lexip.co is published by PIXMINDS DISTRIBUTION, with share capital of €127,770, whose registered office is located in Barberaz, registered under the unique identification number 425 010 451 RCS CHAMBÉRY.
PIXMINDS DISTRIBUTION is the author of the sales offer relating to the products presented on its website lexip.co. These General Terms and Conditions of Sale (hereinafter the “GTC”) apply between PIXMINDS DISTRIBUTION and the website customer.
The GTC, together with the order form and the order confirmation, constitute the sales contract between the customer and PIXMINDS DISTRIBUTION regarding the sale of the ordered products. Unless expressly agreed otherwise in writing by PIXMINDS DISTRIBUTION, all supplies are by law subject to these GTC, which prevail over any other purchasing or ordering conditions. All information contained on the website lexip.co (hereinafter the “Website”) is available in French, English, and German. The customer acknowledges that prior to placing an order they have read all of the above information and these GTC. Consequently, placing an order implies the customer’s full and unreserved acceptance of these GTC. These conditions are made available to the customer on the homepage of PIXMINDS DISTRIBUTION’s Website.
PIXMINDS DISTRIBUTION reserves the right to modify the GTC at any time and without notice, with such changes applying to all orders placed after the modification. Any use of the Website and any order of one or more product(s) via the Website implies simple and unconditional acceptance of the entirety of the GTC. The GTC are intended for consumer customers only, to the exclusion of any professional. As a consumer, the customer has specific rights which would be undermined if the products acquired via the Website were in fact related to their professional activity.
Only persons legally capable of entering into contracts concerning the products offered for sale on the Website may place orders on the Website. When placing an order, the customer warrants that they have full legal capacity to accept the GTC, place an order, and conclude a sale.

1 – PURPOSE
These GTC define the rights and obligations of the parties in the context of distance selling of goods offered on the Website or via the Website’s customer service set up by PIXMINDS DISTRIBUTION.
2 – SCOPE OF THE OFFER
The geographical coverage of the PIXMINDS DISTRIBUTION online store offer is as follows: European Union, Great Britain, and Switzerland.
3 – ACCOUNT CREATION
To order products on the Website, the customer must create an account by providing the information required in the registration form.
To this end, the customer declares that they are providing complete and accurate personal information enabling precise identification in all situations. Any fanciful, defamatory, or misleading personal information may result in the closure of the customer account and cancellation of the order.
When creating their account, the customer chooses a username and a password, which they undertake to keep confidential.
This account will be accessible at any time by the customer using their login details.
The customer is responsible for all actions performed on the Website using their login and password. Any registered user will be bound by any order placed with their credentials, subject to the right of withdrawal under Article 16.

5 – STOCKS AND AVAILABILITY
The products offered on the Website are accompanied by indicative availability and delivery lead times. This information is updated regularly. A product indicated “in stock” is present in PIXMINDS DISTRIBUTION’s own stock. Actual availability of a product may vary quickly depending on sales made on the Website or the stock of products.
6 – ORDER PLACEMENT
The customer may place an order, in French, English, or German, directly on the Website after entering their login details, in accordance with Article 3.
While browsing the various sections of the Website, the customer may place products of their choice in the shopping cart by clicking “Add to cart.” At any time and until confirmation of the overall order, the customer may change their mind, change quantities, and cancel one or more selected products.
Each step necessary for the sale is specified on the Website.
For any request for information or any order, the customer bears the telecommunications costs when accessing the Internet and using it, or when calling the Website’s customer service.
Pursuant to Article 1369-5 of the French Civil Code, the customer will have the opportunity to check the details of their order and its total price and, where appropriate, correct or modify it before definitively confirming their order to express consent. PIXMINDS DISTRIBUTION cannot be held liable for input errors by the customer, nor for their possible consequences in terms of delay or delivery error. In such cases, the costs incurred by any reshipment will be borne by the customer.
Once the contents of the shopping cart have been validated, the customer confirms the order by:

Completing all requested information;

Declaring acceptance without reservation of the entirety of the GTC;

Validating by payment.
Validation of the order by the customer’s “click” constitutes acceptance of the prices and characteristics of the products purchased.
7 – ORDER CONFIRMATION
Once the order has been validated by the customer in accordance with Article 6, a confirmation email acknowledging receipt of the order and summarizing all such information is sent by PIXMINDS DISTRIBUTION to the customer as soon as possible.
The order will be considered final only from the time PIXMINDS DISTRIBUTION sends the customer the confirmation email referred to in this Article 7, and the sale of the product(s) will be deemed concluded only upon payment of the corresponding price by the customer.
If a product ordered by the customer is unavailable, particularly due to discontinuation of production, PIXMINDS DISTRIBUTION undertakes to inform the customer by email as soon as it becomes aware of this unavailability.
PIXMINDS DISTRIBUTION will then indicate to the customer, where applicable, the new time frame within which the product concerned will be made available and, if available, offer an equivalent product.
If the customer refuses to wait for the product to become available or refuses an equivalent product, the customer will be reimbursed the price of the product if their bank account has been debited, within 14 days following the date of confirmation of such refusal.
In accordance with Article L.122-1 of the French Consumer Code, PIXMINDS DISTRIBUTION is entitled to refuse any order for legitimate reason, in particular in the event of a payment problem, foreseeable difficulty with delivery, abnormal order, or order placed in bad faith. PIXMINDS DISTRIBUTION also reserves the right to request identity supporting documents by email and/or telephone, in which case the customer will have the option to cancel the order.
8 – OFFER DURATION
Product and price offers are valid as long as they appear on the Website, it being specified that the Website is updated daily.
Product offers are subject to available stock. If a product is unavailable, particularly due to a stock shortage, PIXMINDS DISTRIBUTION undertakes to remove it from the Website as soon as possible.
9 – PRICE – INVOICE
Product prices indicated on the Website are expressed in Euros (TTC) or in Pounds (£). The price guaranteed to the customer is the one displayed in Euros (€) on the PIXMINDS DISTRIBUTION Website at the time of the order.
The price set at the time of purchase is firm and final. Product prices do not include delivery charges, which will be indicated to the customer either at the time of ordering on the Website or when calling customer service and before the order is validated. These costs are borne by the customer.
For deliveries outside French territory, the provisions of the French General Tax Code relating to VAT will apply. Any change in the applicable rate may be passed on to the sale price of catalog products.
For deliveries outside the European Union, the customer must pay customs duties, VAT, or other taxes due upon importing the products into the country of delivery.
The related formalities are also the sole responsibility of the customer, unless otherwise indicated. The customer is solely responsible for checking the import possibilities of the ordered products under the law of the delivery country.
An invoice will be issued by PIXMINDS DISTRIBUTION.
PIXMINDS DISTRIBUTION reserves the right to modify prices at any time and without notice, but the price applicable to the customer’s order will remain that indicated in the summary of their shopping cart at the time of order validation. Prices displayed online or resulting from the order are guaranteed, except where they prove—particularly due to error or technical malfunction, computer bug—derisory or inconsistent with the actual sale price of the product.
10 – PAYMENT
Payment of the total price is due upon order confirmation by the customer on the Website.
The customer undertakes to pay the stated price for the product ordered on the Website (price of products and transport) and, where applicable, to pay directly to the freight forwarder or carrier customs duties, VAT, or other taxes due upon import of the products into the country of delivery.
The customer may pay their order:

The customer then warrants to PIXMINDS DISTRIBUTION that they have the necessary authorizations to use this payment method when placing the order.
PIXMINDS DISTRIBUTION uses all necessary means to ensure the security and confidentiality of data transmitted on the Website (including online payment). To this end, the Website uses a remote payment and SSL data encryption system so that data never travel in plain text over the network. Furthermore, the transaction is carried out via Société Générale’s e-transaction banking platform, which alone holds the confidential information (card number, expiry date) provided by the customer at the time of payment.
11 – NON-PAYMENT – RETENTION OF TITLE
Ordered products remain the property of PIXMINDS DISTRIBUTION until full and final payment of their price, in accordance with Law no. 80-335 of 12 May 1980. PIXMINDS DISTRIBUTION reserves the right to claim the ordered products in case of non-payment.
In such event and upon first request by PIXMINDS DISTRIBUTION, the customer undertakes to return any unpaid product, with all costs borne by the customer.
12 – TRANSFER OF RISK
During the withdrawal period mentioned in Article 16 below, the customer is responsible for the item as its custodian. In the event of deterioration or destruction of the product while in the customer’s custody, the customer will bear all consequences (see 13. Delivery below).
13 – DELIVERY
As a rule, product delivery will take place, after recording payment for the order, at the delivery address indicated by the customer during the order process.
PIXMINDS DISTRIBUTION undertakes to deliver the ordered items as soon as possible depending on the chosen delivery method and availability of items. Delivery times indicated on the Website are usual average times and correspond to total processing and shipping times.
The delivery time will be indicated to the customer during the ordering procedure, prior to order validation and before payment.
Products are delivered to the address indicated by the customer when ordering. The information provided by the customer when placing the order is binding: in case of error in the recipient’s contact details, the seller cannot be held responsible for the impossibility of delivering the product. In this case, the costs incurred for a new delivery will be borne by the customer and invoiced at their actual cost.
When scheduling a telephone appointment with the carrier, the customer must expressly indicate any access or passage difficulties that the delivery personnel may encounter. The customer must measure access passages to their home to confirm to the carrier that the ordered product can be delivered.
The customer undertakes to be present on the agreed delivery day and to check the conformity of the order upon receipt.
In the event of false information or incorrect measurements by the customer, any additional costs related to equipment rental (hoists), storage, or return of goods will be exclusively borne by the customer.
All additional costs related to the rental of lifting equipment, storage, or customer absence and the risks of damage resulting from these constraints will be borne by the customer. Delivery by crane/hoist through a window may be considered. This service will incur an extra charge to be re-invoiced to the customer; upon request, a quote can be provided.
In case of delivery delay, the customer may cancel the sale under the conditions provided for in Article L.138-1 of the French Consumer Code, provided the observed delivery delay is not attributable to the customer, particularly in case of unavailability to receive delivery.
Product availability is validated by the tracking and control system used by the carrier.
Upon delivery, the customer must check the content, conformity, and condition of the product(s). PIXMINDS DISTRIBUTION recommends that the customer check, at delivery and in the presence of the carrier, the content, conformity, and condition of the package(s). If the customer has any doubt whatsoever as to the condition or content of the package, they must check the condition of the goods received and enter precise and detailed handwritten reservations, dated and signed as follows: on the delivery note provided by the carrier, in the presence of the delivery person; and in all cases, notify PIXMINDS DISTRIBUTION by letter sent to: PIXMINDS DISTRIBUTION, 45 route d’Apremont, 73000 BARBERAZ, FRANCE. Verification of the delivered package is deemed completed and can no longer be contested once the customer or any person authorized to receive the package has signed the delivery slip.
PIXMINDS DISTRIBUTION’s liability may not be engaged in any such case.
If the recipient is absent at delivery, the carrier will leave a notice at the delivery address indicated by the customer. Products must then be collected at the address and in accordance with the methods indicated by the carrier.
If not collected within the deadlines set by the carrier, the products will be returned to PIXMINDS DISTRIBUTION, which reserves the right to refund the price to the customer, with shipping costs remaining at the customer’s expense.
14 – FORCE MAJEURE
Events of force majeure are expressly those usually recognized by the case law of French courts and tribunals.
The occurrence of a force majeure event will first automatically suspend performance of the order.
If after a period of three (3) months the parties note that the force majeure event persists, the order will be automatically canceled, unless otherwise agreed by both parties.
15 – CLAIMS
Claims for non-conformity of the delivered product(s) with the order must be made in writing directly to PIXMINDS DISTRIBUTION immediately upon receipt. The customer must keep the packaging and delivery slip.
In the event of an error in the product, the customer undertakes to return the product(s) concerned as soon as possible to PIXMINDS DISTRIBUTION, provided that they are returned unopened, in their original condition and packaging, together with the accompanying documents. Return costs are borne by PIXMINDS DISTRIBUTION.
Upon receipt of the product in proper form, PIXMINDS DISTRIBUTION will resend, at its expense, the product originally ordered.
16 – RIGHT OF WITHDRAWAL
The customer has a 14 working day period (from receipt of the last item ordered in the case of a multiple-item order) from delivery of the order to return, at their expense, products that do not suit them for exchange or refund, pursuant to Article L.121-21 of the French Consumer Code.
If this period expires on a Saturday, Sunday, or public holiday/non-working day, it is extended to the first following working day.
The returned product must be in its original condition and packaging. It must not have been used, nor show any deterioration, even minor, and must be perfectly clean. This right of withdrawal is exercised without penalty, except for return costs.
Upon receipt of the product, the customer will be refunded the sums paid, by the payment method used for the order.
In case of exercising the right of withdrawal for only part of the order, only the price charged for the returned products will be refunded.
In the event of partial withdrawal where the customer benefited, on the initial order, from free delivery due to exceeding a certain order amount, the customer may be re-billed for delivery costs corresponding to their effective order if the latter falls below the free-shipping threshold.
By exception, the right of withdrawal may not be exercised for the contracts listed in Article L.121-21-8 of the French Consumer Code, including contracts for the supply of goods made to the consumer’s specifications or clearly personalized, or which, by their nature, cannot be returned or are liable to deteriorate or expire rapidly.
In accordance with applicable regulations, the right of withdrawal cannot be exercised for audio or video recordings or computer software unsealed by the customer, goods made to the customer’s specifications or personalized, and goods unsealed by the customer and not suitable for return for reasons of hygiene or health protection.
Products must be returned to PIXMINDS DISTRIBUTION at the following address: PIXMINDS DISTRIBUTION, 45 route d’Apremont, 73000 BARBERAZ, FRANCE.
Products must be returned in their original packaging, properly protected, and in perfect resale condition. Any product returned incomplete, used, washed, damaged, deteriorated, or soiled, even partially, will not be refunded or exchanged.
The customer organizes the return shipment. We recommend keeping proof of dispatch to facilitate procedures in case of a transport issue.
Except in the case of lack of conformity or hidden defects in the product, return costs are borne by the customer.
17 – WARRANTY
The information and descriptions mentioned on each product sheet—particularly photos, technical characteristics, and descriptions—are provided by PIXMINDS DISTRIBUTION.
In accordance with Article L.111-1 of the French Consumer Code, PIXMINDS DISTRIBUTION aims to inform the customer and enable them to know the essential characteristics of the product.
Before shipment, products delivered to the customer are checked to ensure their conformity with the description on the Website.
It is however specified that for technical reasons (photographic and IT), the actual rendering of products may sometimes slightly differ from the photos displayed on the Website.
Without prejudice, where applicable, to any specific warranty conditions for the product concerned, the products presented on the Website are subject to the statutory warranties set out below.

Article L.217-4 of the Consumer Code: “The seller shall deliver goods in conformity with the contract and shall be liable for any non-conformity existing at the time of delivery. They shall also be liable for non-conformity resulting from packaging, assembly instructions, or installation when these were made their responsibility by the contract or were carried out under their responsibility.”

Article L.217-5 of the Consumer Code: “The goods are in conformity with the contract:
If they are fit for the use ordinarily expected of similar goods and, where applicable:
– they correspond to the description given by the seller and possess the qualities that the seller presented to the buyer as a sample or model;
– they present the qualities that a buyer may legitimately expect given the public statements made by the seller, producer, or their representative, particularly in advertising or labelling;
Or if they present the characteristics defined by mutual agreement by the parties or are suitable for any special use sought by the buyer, brought to the seller’s attention and accepted by the latter.” -
Article L.217-12 of the Consumer Code: “Action resulting from lack of conformity is time-barred after two years from delivery of the goods.”

Article L.217-16 of the Consumer Code: “When the buyer requests from the seller, during the course of the commercial warranty granted upon the acquisition or repair of movable property, a remedy covered by the warranty, any period of immobilization of at least seven days shall be added to the remaining duration of the warranty. This period runs from the buyer’s request for intervention or the provision for repair of the item in question, if this provision is later than the request for intervention.”

Article 1641 of the Civil Code (hidden defects): “The seller is bound by the warranty for hidden defects in the thing sold which render it unfit for the use for which it was intended, or which so diminish that use that the buyer would not have acquired it, or would only have given a lesser price for it, had they known of them.”

Article 1648 paragraph 1 of the Civil Code: “Action resulting from redhibitory defects must be brought by the buyer within two years from discovery of the defect.”
The consumer has two years from delivery of the goods to obtain implementation of the legal guarantee of conformity in case a conformity defect appears. During this period, the consumer is only required to prove the existence of the non-conformity, not the date of its appearance.
The legal guarantee of conformity entitles the consumer to repair or replacement of the goods, at no cost and without major inconvenience.
If the goods are repaired under the legal guarantee of conformity, the consumer benefits from a six-month extension of the initial warranty.
The consumer may obtain a price reduction by keeping the goods, or terminate the contract with a full refund against return of the goods if:

The professional refuses to repair or replace the goods;

Repair or replacement causes a major inconvenience for the consumer;
-
The non-conformity persists despite the seller’s attempt to bring the goods into conformity.
The consumer is not entitled to rescission of the sale if the non-conformity is minor.
Any immobilization period of the goods for the purpose of repair or replacement suspends the remaining warranty until delivery of the repaired goods.
The above rights result from Articles L.217-1 to L.217-32 of the Consumer Code.
The consumer also benefits from the legal warranty against hidden defects under Articles 1641 to 1649 of the Civil Code, for a period of two years from discovery of the defect. This warranty entitles the consumer to a price reduction if the goods are kept, or a full refund against return of the goods.
To invoke the legal guarantee of conformity, customers must contact customer support (support@lexip.co) to request application of the legal guarantee of conformity. Proof of purchase must be provided for a valid claim. The relevant products must be sent by post in packaging suitable for safe transport. Products must be returned in the condition in which they were received with all components (accessories, manuals, disclaimers, etc.). Return shipping costs will be reimbursed based on the invoiced rate and upon presentation of receipts.
18 – CONDITIONS OF USE OF PRODUCTS
Before any order and any use, the customer must read all information provided on the Website, inquire about product characteristics and components, and ensure they are compatible with the intended use.
The customer undertakes to always follow the manufacturer’s instructions indicated on the packaging and in the product manual before any use. For further information regarding product characteristics, customer service is available.
19 – PERSONAL DATA
Personal data requested from the customer are essential for processing and delivering orders, issuing invoices, and any potential warranty contracts. For these purposes, this information may be communicated to PIXMINDS DISTRIBUTION’s contractual partners. In addition, PIXMINDS DISTRIBUTION may disclose such data to comply with injunctions from judicial or administrative authorities.
The customer may object to such disclosure and, in accordance with the French Data Protection Act (“Informatique et Libertés,” law of 6 January 1978), has rights of access, modification, rectification, and deletion of data concerning them by contacting PIXMINDS DISTRIBUTION, 45 route d’Apremont, 73000 BARBERAZ, France or via the Website’s “contact” form.
To prevent fraud, PIXMINDS DISTRIBUTION may request supporting documents (identity, proof of address, etc.). PIXMINDS DISTRIBUTION thanks the customer for their understanding.
The Website is designed to be particularly attentive to customers’ needs. Cookies are therefore used to record the customer’s visit to the Website, notably for building their shopping cart.
The customer may oppose the storage of these cookies on their hard drive by configuring their browser.
To meet customer needs and ensure optimal remote service, PIXMINDS DISTRIBUTION may record certain personal data (name, first name, address). PIXMINDS DISTRIBUTION undertakes to respect the confidentiality of personal data communicated by customers on the Website and to process them in compliance with the Data Protection Act of 6 January 1978, as amended and currently in force.
20 – SUSPENSION – TERMINATION
The customer may terminate their registration on the Website and close their account at any time by sending a termination request to customer service.
In the event of a breach by the customer of any of their contractual obligations, particularly in case of a payment incident, PIXMINDS DISTRIBUTION reserves the right to suspend the customer’s access to the Website and services, or even to terminate their account depending on the seriousness of the breach. PIXMINDS DISTRIBUTION reserves the right to refuse any order from a customer with whom there is an existing dispute.
21 – ELECTRONIC SIGNATURE
The “validation click” constitutes an electronic signature.
This electronic signature has, between the parties, the same value as a handwritten signature.
22 – PROOF
Computerized records kept in PIXMINDS DISTRIBUTION’s computer systems under reasonable security conditions will be considered as proof of communications, orders, and payments between the parties.
Archiving of order forms and invoices is performed on a reliable and durable medium that can be produced as evidence.
It is expressly agreed that PIXMINDS DISTRIBUTION and the customer may communicate via electronic means or by telephone. Technical security measures are provided to ensure confidentiality of exchanged data.
PIXMINDS DISTRIBUTION and the customer agree that emails exchanged between them validly evidence the content of their exchanges and, where applicable, their commitments, particularly regarding transmission and acceptance of orders.
23 – INTELLECTUAL PROPERTY
PIXMINDS DISTRIBUTION holds intellectual property rights over the Website, consisting of elements such as sounds, images, photographs, videos, writings, animations, programs, graphic charter, utilities, databases, software, and other underlying technology, and holds the right to distribute the materials appearing in the Website’s catalog—particularly photographs—for which it has obtained the necessary authorizations from the concerned persons.
Consequently, partial or total reproduction, on any medium whatsoever, of elements composing the Website and catalog, their use, and their disclosure to third parties are strictly prohibited.
Without prior solicitation, PIXMINDS DISTRIBUTION prohibits the creation of any hyperlink pointing to the Website. A customer wishing to place on their personal website a link pointing directly to the Website’s homepage must first obtain PIXMINDS DISTRIBUTION’s express authorization.
24 – ENTIRE AGREEMENT
These GTC express the entirety of the parties’ obligations.
No other general or special condition communicated by the customer may be integrated into or derogate from these GTC.
25 – NO WAIVER
The fact that PIXMINDS DISTRIBUTION does not enforce a breach by the customer of any of their obligations may not be interpreted as a waiver of the obligation concerned or of the right to enforce such breach subsequently.
26 – SEVERABILITY
If one or more stipulations of these GTC are held invalid or declared as such pursuant to a law, regulation, or final decision of a competent court, the other stipulations shall remain in full force and effect.
27 – LIABILITY
Products presented on the Website comply with French legislation in force and the standards applicable in France.
PIXMINDS DISTRIBUTION undertakes exclusively to comply with the legal provisions applicable in France. No regulation specific to the country of delivery and/or consultation of the Website may be asserted against PIXMINDS DISTRIBUTION.
The customer is solely responsible for compliance with regulations applicable in their country of residence or the destination country of the products. It is the customer’s responsibility to inquire with the local authorities about any possible restrictions on import, export, or use of the products they intend to order on the Website.
The service provided by PIXMINDS DISTRIBUTION is limited to supplying products under the conditions described in the GTC. Under no circumstances may PIXMINDS DISTRIBUTION be held liable for advice, recommendations, and conditions of use of products provided by the manufacturers on the Website or in their user manuals.
PIXMINDS DISTRIBUTION’s liability is limited to direct and foreseeable damages that may result from the customer’s use of the Website and products. PIXMINDS DISTRIBUTION is not liable for damages resulting from customer fault in the use of the products.
PIXMINDS DISTRIBUTION’s liability shall not be engaged if the non-performance or improper performance of its obligations is attributable to the customer, to the unforeseeable and insurmountable act of a third party outside the supply of the products, or to a case of force majeure that is unforeseeable, irresistible, and external.
Generally, PIXMINDS DISTRIBUTION shall under no circumstances be liable for indirect or unforeseeable damages caused in connection with the use of the Website and the ordering of products.
PIXMINDS DISTRIBUTION cannot be held liable for content available on other sites or Internet sources accessible via hyperlinks inserted on the Website (including advertisements, products, services, or any other information), nor for any damages of any kind that may be suffered by the customer during a visit to these sites.
Use of the Website implies the customer’s knowledge and acceptance of the characteristics and limits of the Internet and related technologies, the lack of protection of some data against possible misappropriation or hacking, and the risk of contamination by viruses circulating on the network.

28 – DISPUTES
These GTC are governed by French law. Only the French version of these GTC is authoritative.
In the event of a difficulty arising in connection with the order, delivery of products, or more generally the performance of the sale, the customer may, before any legal action, seek an amicable solution, in particular with the assistance of a consumer association or any other advisor of their choice.

Article L211-4 Consumer Code
“The seller is required to deliver goods in conformity with the contract and is liable for any lack of conformity existing at the time of delivery.
